Chevron Ombuds Announces Retirement

Albin Swenson, Manager of Chevron Corporation's Global Office of the Ombuds, has announced that he will retire later this year. Swenson was recently appointed to the on the Board of the International Ombudsman Association. He also has served on the Board of Certification for Certified Organizational Ombudsman Practitioners since its inception in 2009 and has chaired the CO-OP Eligibility Committee.

Job Posting: Strayer University

The private, for-profit educational institution is hiring a Student Financial Services Ombudsman. The position is primarily responsible for handling unresolved loan disputes between students and the university. (According to the U.S. Department of Education, the repayment rate of federal student loans at Strayer University is about 24%.) The position will be full time and based in Northern Virginia. 

According to the job posting, the Ombudsman will review and attempt to informally resolve disputes, maintain confidentiality, and remain independent, neutral and impartial. However, the posting also indicates that the Ombuds will be assisted by the Strayer University Legal team. This appears to be a new position and there is nothing on the Strayer website about the Ombuds program. No qualifications, salary or deadline indicated. (Strayer Recruiter; U.S. Dept. of Ed.)

FINRA Offers Summer 2012 Externship

The Financial Industry Regulatory Authority is offering an unpaid externship with its Office of the Ombudsman in Rockville, MD. The extern will work with FINRA Ombuds staff from May 21, 2012 through August 10, 2012 for up to 35 hours per week.

Duties will include a variety of tasks including research, analyses and writing, document review, as well as providing assistance in developing statistical reports, as well as quarterly and annual management reports preparing for investigative testimony and hearings. Applicants must submit a resume, cover letter and graduate school transcript; Only candidates pursuing graduate studies will be considered. Knowledge of securities and ADR preferred, but not required. (FINRA Careers.)

Corporate Secretary Magazine: The Role of an Ombudsman in Supporting a Company's Compliance Efforts

The online version of the periodical for corporate secretaries, general counsel, and governance professionals recently interviewed Jon McBride on the benefits of an Ombuds program. McBride told Aarti Maharaj, Deputy Editor at Corporate Secretary Magazine, why Ombuds are an important complement to formal corporate reporting mechanisms. 


You have one cohort of directors: "I'm terrified of what I don't know." And you have another cohort of employees that know things and don't know who to tell. How do you marry up those two interests? The organizational ombudsman is a terrific solution to that. The board members don't need to know the source of issue; they do need to trust their intermediary. That the intermediary will sort the wheat from the chaff and will only bring issues to them that will command their attention.

Society of Women Engineers Magazine Article on Ombuds

The winter issue of the SWE periodical includes an article: "A Fresh Look at the Organizational Ombudsman." The piece is based partly on interviews with attorney and author Chuck Howard, Ilene Butensky, Ombudsman for the Eaton Corp., Marsha Wagner, Ombuds at Columbia University, and Mary Rowe, Ombudsman at MIT. The article explains that Ombuds are an important resource for women who continue to face gender bias in the engineering profession.

Albuquerque Realtors Launch Ombuds Program

The Greater Albuquerque Association of Realtors has implemented an Ombudsman Program for local members, and their clients and customers. According to the new website, the GAAR Ombudsman Program, "provides a neutral, informal, and flexible avenue to address a wide range of concerns with a variety of tools and approaches."

Bruce MacAllister, former Los Alamos Ombuds, and his consulting firm helped set up the program. MacAllister says that the program is based on both the National Association of Realtors and IOA standards of practice and codes of ethics, and that it is staffed by volunteer realtors. Premier Education Group Opens Ombuds Office

The privately held company that operates 19 vocational education institutes in the Northeast has added a webpage for a Student Ombudsman. The site says that the role of Ombuds, "is to assist our students in addressing any concerns that weren’t resolved at the campus level." 

Premier Education Group does not indicate whether its Ombuds follows any particular standards of practice, so it is impossible to tell whether the program resembles those at other institutions of higher education or is merely a complaints office.  Wikipedia says that the company "has faced allegations of fraudulently misrepresenting school accreditations and certifications, and of unprofessional academic practices." Sacramento Association of Realtors Implements Ombuds Program

The realtor group for the California state capital has unveiled an Ombudsman service. It appears that the program follows the National Association of Realtors standards, which is based on the IOA standards of confidentiality, neutrality, independence and informality. One potential deviation is the role of the Ombuds as a complainant's representative at an ethics mediation.

According to the SAR website:
The Association has identified and trained members with a thorough knowledge of the Code of Ethics and the Standards of Care in the Sacramento real estate industry, as well as the willingness and patience to help others, to provide ombudsmen services. When a phone call from a SAR member or client of a member comes into the Association, the caller may be offered the ombudsman service. The ombudsman may advise the complainant on possible avenues of resolution or simply answer questions. If the matter might be better resolved in a meeting with the respondent, the ombudsman may encourage the complainant to request ethics mediation. If the complainant wishes to file a complaint, the ombudsman can assist the complainant with the preparation of written statements and an understanding of what the burden of proof for a hearing might entail. The ombudsman may also be the disputant's REALTOR® representative at any ensuing hearing. The complainant is assured of complete confidentiality during this process.

Longtime Sandia Ombuds Retires

Don Noack, who has served as the Corporate Ombudsman at Sandia National Laboratories for over 15 years, has announced that he will be retiring on December 23. Noack worked at Sandia for nearly 35 years and was very active in the Ombuds profession. In addition to giving conference presentations and trainings for IOA, Noack served on the Board of Directors and was Secretary in 2010. 

According to the Sandia Ombuds website, John Kelly has been named as the Acting Ombuds for the Albuquerque office. (Sandia Ombuds.)

James McRitchie, the publisher of the corporate governance site CorpGov.net, has reviewed Charles Howard's book, "The Organizational Ombudsman: Origins, Roles and Operations-A Legal Guide." McRitchie's interest was piqued by the recent panel discussions about Governance Ombuds hosted by the Silicon Valley Chapter of the National Association of Corporate Directors and the Rock Center for Corporate Governance at Stanford University.

McRitchie's review concludes with this paragraph:
After reading the book I can say I’m still amazed more companies haven’t added ombuds functions. Setting up such an office and operating it so that confidentiality, independence and neutrality are protected is no easy task but there appears to be much more upside than downside, if done right. The flawed cases referenced where confidentiality was denied appear to be deeply flawed. However, I wouldn’t undertake such a task without Howard’s book and I would also want to join the International Ombudsman Association to discuss the idea with several who have set up and operated such offices. While it isn’t an “idiot’s guide” or step-by-step approach, the subject matter doesn’t lend itself to that possibility at this stage of development. Charles Howard’s essential guide for organizational ombudsman will undoubtedly facilitate growth of this important function that could help develop a culture of trust, candor and accountability.

Connecticut Law Tribune: Ombuds Offer Option for Whistleblowers


The latest article by Chuck Howard appears in the Connecticut Law Tribune.  Howard explains that Organizational Ombuds offer significant benefits for potential whistleblowers.

Howard says:
The enactment of the Dodd-Frank Wall Street and Consumer Protection Act last year and implementing regulations from the Securities and Exchange Commission earlier this year were strongly opposed by many groups, such as the Association of Corporate Counsel, because they create a bounty system for whistleblower tips made directly to the SEC rather than encourage reporting through a company’s internal channels.

The position provides a wide range of professional support to the office, including working with associates to develop options for resolving problems, identifying organizational systemic issues that are causing conflict, and participating in mediation sessions in California and Canada.

Applicants must have a bachelor's degree and three to five years experiece as an Organizational Ombuds. In addition, applicants should ahve four years of experience working within a business organization with 2,000 or more associates, professional training or experience in the area of alternative dispute resolutio, and experience handling classified or sensitive information. AllianceBernstein Appoints Ombuds

The global investment management firm in New York has hired attorney Sana A. Manjeshwar as its next Ombudsman. Previously, Manjeshwar worked as a labor and employment attorney for the law firms of Wilson Elser and Stroock & Stroock & Lavan LLP, and a human resources manager. She earned a BA in Psychology from McGill University and a JD from Fordham University School of Law. The appointment was effective in September. (AllianceBernstein; LinkedIn.)

Update: More Materials from Silicon Valley Program on Corporate Ombuds

The Corporate Governance site at CorpGov.net has posted a summary of the Silicon Valley Chapter of the National Association of Corporate Directors meeting on October 20, 2011 that featured Pat Gnazzo, Chuck Howard, and Jon McBride.

CorpGov.net publisher James McRitchie tweeted his observation that none of the 100 companies represented in the audience had an Ombuds program. Update: Court Approves Settlement Creating Ombuds Program for Pfizer

The federal court has approved the settlement of a shareholder lawsuit against Pfizer, Inc., and its subsidiary Pharmacia & Upjohn Company, Inc., that will require the company to create an Ombuds program for employees.


The court's order states:
Separately, the proposed settlement requires Pfizer to create an Ombudsman program so as to provide the company's [*340] employees with an alternative, confidential means for bringing work-related concerns to the attention of senior management without fear of reprisal. See Corporate Governance Proposal at 6. The Ombudsman will operate a stand-alone office under the direction of Pfizer's Chief Compliance Officer, and is authorized to report his or her concerns directly to the Regulatory Committee. Id. All conversations with the Ombudsman will remain confidential, except where the employee raises an issue that risks harm to an individual or the company or where disclosure is required by law. Id.
The order also said, "Both plaintiffs' and defendants' experts also point to the Ombudsman program ... [**15] as likely to materially enhance the Company's ability to meet its compliance obligations." (The case cite is In re Pfizer Inc. S'holder Derivative Litig., 780 F. Supp. 2d 336, 341 (S.D.N.Y. 2011).)

The Role of Ombuds in Franchise Disputes

An article in the latest issue of Canadian Business Franchise magazine explains how Ombuds can help resolve disputes between a franchisee and franchisor. Frank Zaid, a leading corporate attorney in Toronto, explains that a franchise Ombuds can be helpful when:
  • uncertainty exists about which policies or procedures apply to a given franchise situation;
  • the issue at hand involves unfair or inequitable treatment or application of a policy or procedure;
  • a problem requires someone to help negotiate a solution or help facilitate communication with others; or
  • a franchisee wants to know where to direct a formal complaint or dispute.
Zaid also says that, "The most effective franchise ombudsman is independent of both parties and is appointed with transparent and mutually approved terms of reference." both the Canadian Franchise Association and International Franchise Association have established Ombuds programs for their members. 2011 Corporate Organizational Ombuds Roundtable Described as Successful

Organizers of the latest Corporate Organizational Ombuds Roundtable (COOR) at M.D. Anderson say the event was a big success. Hoping to generate more interest and attendance at next year's event, COOR has released an Agenda Supplement with presentation descriptions from the roundtable on September 15-16, 2011 in Houston.

National Association of Realtors Will Train Ombuds at Annual Conference

When NAR holds its annual meeting in Anaheim, CA next month, attendees will be able to take a course in creating an Ombuds program for real estate disputes. A two hour session titled, "How to Develop a Local Ombudsman Program" will be offered on November 13.



The description published in conference materials states:
Having a local ombudsman program provides an opportunity for disputing parties to resolve their disagreement without needing to file a formal ethics complaint or arbitration request. The ombudsman’s role is that of a communicator who works to identify the nature of the dispute to determine if discussions with the parties can resolve the matter-- saving time, money and effort on behalf of the parties and the association.

* An explanation of the ombudsman concept

Job Posting: Shell Canada

Shell Canada is seeking a part-time, contract Ombudsman for Waterton in southern Alberta. The position will serve as a resource for community members who have unresolved concerns related to Shell operations. The Ombuds will be expected to complete IOA training and practice to IOA standards. The expected hours per week are uncertain although the successful candidate will be expected to work approximately 20 hours a week for the first four to six weeks to establish and communicate the role within the community.
